Terms and Conditions

These terms govern the use of the KOG Group website and the procurement, sourcing and consulting services of KOG Strategic Partners Limited. Please read them before you send us a request or agree a proposal.

Last updated: 2026-10-23

Draft text prepared for the new site. To be reviewed by legal counsel before launch.

1. About these terms

These terms apply to your use of www.kog-group.com (the "Site") and to the services of KOG Strategic Partners Limited (the "Company", "we", "us"), Nejat Eczacıbaşı Binası, Sadi Konuralp Caddesi, Şişhane Sk. No:5 Kat:2, 34433 Beyoğlu, İstanbul, Türkiye.

Our services are offered to businesses. If a signed proposal, statement of work or contract with you says something different from these terms, the signed document prevails.

2. Definitions

  • "Client" means the individual, organisation or entity that enters into a contract with the Company for Services.
  • "Services" means the procurement, sourcing and consulting services described in the SOW.
  • "SOW" means the statement of work or proposal agreed in writing between the Company and the Client.
  • "Agreement" means the SOW together with these terms.

3. Information on the Site

Information on the Site and in our general materials is provided in good faith and for general information only. It is not advice for your specific project.

We make no representation or warranty, express or implied, about the accuracy, adequacy, validity, reliability, availability or completeness of that information. We do not warrant that the Site will be uninterrupted, error free or free from viruses or other harmful components.

4. Case studies and results

Figures on our case study pages and in our materials, such as cost savings, budget reductions or delivery times, are results reported for specific past projects. Where a comparison is given, it refers to the baseline stated for that project, for example a previous supplier's price or an earlier quote.

Results depend on the conditions of each project, including specifications, quantities, materials, market prices, exchange rates, freight costs and timing. They are not a promise, forecast or guarantee of the savings or results you will achieve.

Any estimate in a proposal is based on the information available at that time and is not binding unless the SOW says so. Some images on case study pages are illustrative and may not show the actual project.

5. Our advice and your decisions

Our advice and recommendations are based on the information the Client provides. Outcomes may vary because of factors beyond our control, so we do not guarantee any specific result.

The Client remains responsible for the decisions it makes and the actions it takes based on our Services, and we are not liable for those decisions.

6. Requests, proposals and scope

  • Sending a request through the Site, by email or by message does not create a contract. A contract exists only once both parties have agreed an SOW in writing.
  • The Company provides the Services set out in the SOW, which forms part of the Agreement.
  • Any additional services not specified in the SOW must be requested in writing and may be subject to additional fees.

7. Fees and payment

Fees, payment terms and any expenses for the Services are as set out in the SOW.

8. Confidentiality

  • Both parties will keep confidential all proprietary and confidential information disclosed during the Agreement and will use it only to perform their obligations under it.
  • We also treat the documents you send with a request before any Agreement, such as specifications, drawings and BOQs, as confidential. We share them with suppliers and partners only to the extent needed to prepare quotes or perform the Services.
  • How we handle personal data is described in our Privacy Policy.

9. Intellectual property

  • Intellectual property developed by the Company while providing the Services remains the property of the Company unless otherwise agreed in writing.
  • The Client receives a non-exclusive, non-transferable licence to use the deliverables produced as part of the Services.
  • Documents and specifications provided by the Client remain the Client's property.
  • Content on the Site, including text, graphics and logos, belongs to the Company or its licensors and may not be copied for commercial use without our written permission.

10. Term and termination

  • The Agreement starts on the start date in the SOW and continues until the Services are completed or the Agreement is terminated.
  • Either party may terminate the Agreement by written notice, giving the notice period stated in the SOW or, if none is stated, 30 days' notice.
  • On termination, the Client pays for all Services provided up to the termination date.

11. Warranties and liability

  • Except as expressly stated in the SOW, the Services are provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement.
  • The Company's total liability to the Client for any claims arising out of the Agreement is limited to the fees paid for the Services under the relevant SOW.
  • The Company is not liable for any indirect, incidental, consequential or special damages, including loss of revenue, loss of profits, business interruption or loss of data, whether in contract, tort (including negligence) or otherwise.
  • Nothing in these terms limits liability that cannot be limited under applicable law, including liability for intent or gross negligence.

12. Indemnity

The Client will indemnify and hold harmless the Company, its affiliates, officers, employees and agents against any claims, damages, losses or liabilities arising from the Client's use of the Services, except where the claim arises from the Company's negligence.

14. Events beyond reasonable control

Neither party is liable for any delay or failure to perform an obligation under the Agreement if it is caused by circumstances beyond its reasonable control, such as natural disasters, war, epidemics or government restrictions.

15. Governing law and disputes

  • These terms and the Agreement are governed by the laws of the Republic of Türkiye.
  • The parties will first try to resolve any dispute through good faith negotiation.
  • If the dispute is not resolved within 30 days, and after any mediation that Turkish law requires, the Istanbul Central (Çağlayan) Courts and Enforcement Offices have exclusive jurisdiction.

16. Changes to these terms

We may update these terms by posting a new version on the Site with a new date, or by telling you through other appropriate channels. Your continued use of the Site after a change means you accept the updated terms.

Changes do not affect an SOW already agreed. Amendments to an Agreement must be made in writing and signed by both parties.

17. General provisions

  • Entire agreement: the Agreement, including the SOW and any amendments, is the entire agreement between the parties and replaces all earlier agreements or understandings on its subject.
  • Severability: if any provision is found invalid or unenforceable, the other provisions remain in full force and effect.
  • Notices: notices under the Agreement must be in writing and delivered to the address in the SOW, or to another address a party gives in writing.
